SOUTH DAKOTA
ADULT DAY SERVICES ASSOCIATION
BY LAWS

Article I.            The name of the organization shall be the South Dakota Adult Day Services Association.

Article II.        The purposes of this association shall be:

A.        To encourage high and consistent standards of practice in Adult Day Services programs
throughout the state.
B.        To offer a forum for the exchange of information and services of adult day services practices among existing and potential providers of such services.
C.        To motivate public and legislative policy that identifies the needs of adults in the area of adult day services and strives to address these needs.
D.        To identify and recruit new members and to maintain a consistent and ongoing active membership.
E.        To educate the public about the services available in the state of South Dakota regarding Adult Day Services.

Article III.        Non-Profit:  The SD Adult Day Services Association is a non profit organization.  No part of
any, and/or all receipts of the organization shall inure to the benefit of the donor, member, officer
or private individual.  No part of the activities of the organization shall consist of participating in or intervening in any political campaign on behalf of any candidate for public office.

Article IV.        Membership:  The membership year shall be April 1 to March 31.  Active membership shall
include an obligation to the Association to conduct and insure integrity, proper utilization and
high quality of care.  The membership of this association shall consist of the following categories
and no agency or person will be denied membership by reason of race, color, religion, age, sex or
national origin: 
A.          Active - Agency/Provider/Individual Membership - Membership in the
association shall be open to all SD Adult Day Services and individuals employed
by a program providing Day Services and Respite Care for adults.

Agency/Provider membership has the following rights:
-        entitled to one vote per Association Membership.
-        To submit items for consideration on meeting agendas
-        To submit nominations
-        To request special meetings.

B.        Associate Membership - Individuals and organizations interested in and in
support of the purposes of the Association may be granted Association
Membership, which shall be without vote.

                Dues:  Annual dues are payable on April 1 of each year to maintain membership privileges
Failure to pay dues within 30 days after notice shall be considered equivalent to resignation.

The amount of the dues shall be reviewed annually by the Executive Committee.

Article V.        Voting:  All active memberships shall be entitled to cast one vote.  Votes may be taken by voice,
by show of hands, by ballot, or by writing.


Quorum:  At any scheduled meeting of the Association, the members present shall constitute a
quorum and shall decide any business brought before such a meeting.

Article VI.        Meetings:  The association shall hold an annual meeting at a date and time to be determined, and
communicated by written notice to the members no later than thirty days prior to the meeting.
The agenda of the annual meeting shall include the election of officers.  Quarterly meetings
should be held.

Special committee meetings may be called as necessary by the Chairperson of said committee,
and may be done by telephone or written notification.

Article VII.        Officers:  The officers shall be members of the association.  The officers shall be Chairperson,
Vice-Chairperson, Secretary, and/or Treasurer.

The terms of office are as follows:  after fulfilling a 2-year term (when possible) as Vice
Chairperson, that person will automatically move up to the post of Chairperson for a 2 year term.
Vice Chairperson, Secretary/Treasurer will continue to be two-year terms and will be filled in the
same year in which the existing Vice-Chairperson moves.  Election of officers will be for 2 year
terms with election of odd years.  Terms shall not exceed 2 consecutive terms.

Duties:

        Chairperson:  preside over all meetings of the membership and of the Executive
Committee; be an ex-officio member of all standing committees subject to the approval
of the Executive Committee; nominates a temporary replacement on the Executive
Committee should a vacancy occur.

Vice-Chairperson:  shall perform the duties of the Chairperson in his/her absence; shall
Chair the program committee/task force; and shall perform all other duties that may be
assigned by the Chairperson.

Secretary:  shall keep minutes of the Executive Committee and general membership
meetings; mail out minutes of the Association meetings to the membership within 30
days after the meeting; maintain an up-dated list of members of the Association; and
conduct all correspondence as directed by the Chairperson.

Treasurer:  shall prepare annual dues notices; have custody of all funds of the
Association; see that only such bills as have been approved/authorized by the Executive
Committee are paid; and make a financial report to membership and Executive
Committee at each regular and annual meeting.

Article VIII.        Executive Committee

                Membership shall be composed of the elected officers.

                The function of the Executive Committee shall be to carry out the plans and programs of the
Association and:
-        transact business of the Association in the interim between meetings.
-        Establish major administrative policies governing the affairs of the Association and devise and implement priority measures for the Association’s growth and development.
-        Approve standing committees.

Article IX.        Parliamentary Procedures:  Robert’s Rules of Order, newly revised, latest edition, shall be
authority for this Association.

Article X.        Amendments to By-Laws:  These By-Laws may be amended at any regular meeting of the
Association by those present and voting, provided written notice of the action shall have been
given at least thirty days prior to the date of such meeting to all members.
